The Firm’s transactional attorneys often act as “outside general counsel” for early stage and lower middle-market companies (including family-owned businesses) that have sophisticated legal needs, but whose legal work flow might not justify a full-time, in-house legal department. The Firm’s transactional attorneys guide the Firm’s clients through all stages of the lifecycle of a business—from start-up and structuring the entity; to raising capital; to preparing and negotiating the contracts necessary for the entity’s business; through to an exit strategy, which often involves the sale of the business.

Some of the services provided include business entity formation and maintenance, capital-raising transactions, mergers and acquisitions, contract preparation and negotiation, Internet and Cyberspace Law, business partner and member dissociations, and day-to-day counseling.
